A WAY TO GROUP YOUR CAPITAL WITH OTHERS TO BUY REAL ESTATE

Billion-Dollar Portfolios to PURPOSE-Driven STEWARDSHIP
What You Need to Know
What kind of shares/units are you issuing?
Class A Units in a Delaware limited liability company.
Where can I find the company’s SEC filings?
All of our regulatory filings , including financial reports, can be found here.
How much are you raising?
There is no minimum or maximum amount set by Regulation D 506 (c) however each one of our syndications traditionally raises between $1,000,000 to $100,000,000 for specific properties.
How will I get a return on my investment?
If the value of your syndication grows, then you have a higher potential of making a profit on your investment based on the scenarios below. Investors can see an economic, tax or social return on the ownership of units in one of the syndications (LLCs) in five main ways:
• Appreciation of Real Estate Interests: An increase in the value of our real estate property interests.
• Dividend Income from Rents: Cash flow from rents provides dividend income, typically quarterly, offering a yield on the current stock price. We aim to transition to monthly dividend payments as soon as possible.
• Special Dividends from Capital Events: Special dividends are declared when properties are refinanced or sold, and capital is returned.
• Lower tax bills: Through depreciation methods you could potentially lower with your tax bill through passive losses on your annual K-1.
• Social improvement: The community benefits from your investment by restoring properties and changing lives for the better.
When will I receive my member units?
Member units will be distributed after the investment funds clear. This typically takes around 30 days after the investment.
Are there higher fees if you invest via Wire vs. ACH?
No, costs are the same, regardless of how you invest.
Do I need to be an "accredited"investor to invest in this?
Yes. To qualify as an individual accredited investor, you must meet at least one of the following requirements:
- Income: Earned an annual income exceeding $200,000 (or $300,000 jointly with a spouse or spousal equivalent) for each of the past two years, with the reasonable expectation of earning the same or more in the current year.
- Net Worth: A net worth exceeding $1 million, either individually or jointly with a spouse—excluding the value of your primary residence.
- Licenses & Certifications: Hold an active,-in-good-standing financial license from FINRA, such as the Series 7, Series 65, or Series 82.
- Knowledgeable Employees: Work as a "knowledgeable employee" of a private fund.
If you are not accredited, you CAN still invest in our company stock. Visit this website.
How much can I invest?
Accredited investors can invest as much as they want. You must be "accredited" to partipate in the syndication offering.
How do I calculate my net worth?
To calculate your net worth, just add up all of your assets and subtract all of your liabilities (excluding the value of the person’s primary residence). The resulting sum is your net worth.
What are the tax implications of a syndication investment?
We cannot give tax advice, and we encourage you to talk with your accountant or tax advisor before making an investment.
Who can invest in a Regulation D Offering?
Individuals over 18 years of age can invest.
What do I need to know about syndication investing? Are these investments risky?
There will always be some risk involved when investing in a real estate investment. If the property were to become unsellable or the property became a foreclosure, your ownership interest could lose all value. You may have limited voting power to direct the syndication due to management company and sponsor overseeing the asset. You may also have to wait about five to seven years (or longer) for an exit via disposition, etc. Nothing is guaranteed. Real estate syndications should be part of a more balanced, overall investment portfolio.
When will I get my investment back?
The Units (the "Units") of each syndication (the "Syndication") are not publicly-traded. As a result, the Units cannot be easily traded or sold. As an investor in a private limited liability company, you typically look to receive a return on your investment under the following scenarios: The Syndication pays dividend distributions from net operating income. The property is sold and you receive a final distribution, then the Syndication winds down. In those instances, you receive your pro-rata share of the distributions that occur. This is considered a long-term exit, taking approximately 5-7 years (and often longer) to see the possibility for an exit. It can sometimes take years for properties to sell.
Can I sell my units?
Because this is a private placement under Regulation D, your units are subject to specific legal restrictions and holding periods before any resale can occur:
- Mandatory Holding Period: Under SEC Rule 144, you must hold these units for a minimum of one year (or six months if the company becomes a public reporting entity) before they can be considered for public resale.
- The Restrictive Legend: Your units will bear a restrictive legend. To sell them after the holding period, you must request that our transfer agent remove this legend, which requires an official legal opinion letter from company counsel.
- Private Secondary Sales: Prior to a public listing or IPO, you may only sell your units privately to another verified accredited investor or via an approved private secondary marketplace.
- Company Right of First Refusal (ROFR): Any private secondary sale or transfer is strictly subject to the company’s operating agreement. The company retains the first right to purchase back the units before they can be transferred to an outside party.
Investors must be prepared to hold this investment indefinitely and bear the economic risk of illiquidity.
Exceptions to limitations on selling units during the one-year lockup period:
In the event of death, divorce, or similar circumstance, shares may be able to be transferred to:
The company that issued the securities, an accredited investor, a family member (child, stepchild, grandchild, parent, stepparent, grandparent, spouse or equivalent, sibling, mother-in-law, father-in-law, son-in-law, daughter-in-law, brother-in-law, or sister-in-law, including adoptive relationships)
Even though the SEC allows these transfers, the company that issued the stock might still block them.
What happens if a company does not reach their funding target?
There is no minimum funding target for this offering.
How can I learn more about a company's offering?
All available disclosure information can be found in the private placement memorandum (PPM) and landing pages and in SEC filings for our Regulation D offering.
What if I change my mind after investing?
Your investment in this offering is irrevocable and not refundable. Once the subscription agreement is fully executed and the investment is funded there are no cancellations or refunds.
How do I keep up with how the syndication is doing?
The sponsor of the syndication sends quarterly and annual updates.
What types of syndications does AARE offer and how does it work with the AARE network of partner operators?
AARE offers (1) investment opportunites for investors in direct syndications that AARE sponsors and manages as the general partner (GP) and (2) investment opportunities for investors to invest capital with other network operating managers/sponsors throughout our nationwide network as a limited partner (LP) or as a joint venture (JV).
